Providing support for clients on the regulatory and legal framework
in Germany and Indonesia
EKONID’s Corporate Services department specializes in providing support for clients on the
regulatory and legal framework for investments in Germany and Indonesia. This requires
not only an in-depth understanding of the structure and nature of Indonesian-German
business relations, but also of the different economic, cultural and legal environments.
EKONID’s Corporate Services department key areas of activities continued to comprise
the incorporation of companies and representative offices as well as cross-border
mergers and change of legal form of companies. Practice areas ranged from corporate,
mergers & acquisition to distribution and employment. The department has made it on
the advisors list of some renowned clients in the machine building industry, transport,
automotive, construction and medical technology sector. We successfully continued
last year’s positive development particularly active in the field of corporate law. A
significant increase grew in the core areas change of shareholders or management,
capital increases, transfer of shares and incorporation of joint ventures. In addition,
contract drafting services in the fields of corporate and employment law such as joint
venture agreements, sales and purchase of shares agreements and labour contracts as
well as the application of work- and residence permits experienced another growth in
demand. Clients appreciated the qualitatively good support as well as the good cost-
benefit-ratio.
The department was also significantly involved in internal structural issues such as
the election of the new members of the Board of Management at EKONID’s 43
rd
Annual
Members Meeting and the perusal of EKONID’s multiple institutional and economic
cooperations from a legal point of view, which were implemented throughout the
year. In addition, based on the department’s initiative, the Indonesia Investment
Coordinating Board (BKPM) amended the “Guidelines and Procedures for Investment
Licensing and Non-Licensing (PERKA 5/2013)” in favour of the bilateral Chambers of
Industry and Commerce which are now explicitly mentioned in the regulation to
continuously handle applications at BKPM besides notaries and/or law firms.
The department also published varying updates concerning latest legal developments
in different industry sectors such as renewable energies and areas of law including
but not limited to recent regulations concerning the establishment of representative
offices or outsourcing restrictions.
